1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your access to and use of the nogvarelt website and any course information, educational materials, and communications provided through it (collectively, the “Service”). The Service is operated by Nogvarelt Education s.r.o. (“nogvarelt,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

Minimum age: you must be at least 16 years old to use the Service. If you are under 18, you confirm that you have permission from a parent or legal guardian to use the Service, and that they have reviewed these Terms with you.

2. Educational Disclaimer (No Guaranteed Outcomes)

nogvarelt provides training and educational materials about book sales, book retail management, and online bookstore operations. The Service is for informational and educational purposes only. We do not guarantee commercial success, sales volume, profitability, or any specific business outcome.

Examples, scenarios, and templates are illustrative and may not reflect results in your market. Outcomes depend on factors outside our control, including inventory access, pricing, competition, execution quality, customer demand, supplier terms, platform policies, and operational constraints.

3. Description of the Service

The Service provides course information and educational content relating to operational workflows in book retail and online bookstore management. Topics may include (by way of example) sourcing, intake and condition grading, SKU conventions, inventory accuracy practices such as cycle counting, pricing logic, promotions planning, product merchandising, fulfillment routines, returns handling, and customer engagement systems.

We may modify, update, suspend, or discontinue any part of the Service at any time. We do not promise that any specific feature, lesson structure, or content format will remain available indefinitely.

The Service is provided “as is” and “as available.” While we aim for clear and accurate content, we do not warrant that the Service will be uninterrupted, error-free, or suitable for your specific business model.

4. Acceptable Use

You agree to use the Service lawfully and responsibly. You must not:

  • Attempt to gain unauthorized access to the Service, servers, or related systems.
  • Interfere with security features, rate limits, or any access controls.
  • Use automated scraping, crawling, or harvesting tools that materially degrade the Service.
  • Submit false, misleading, or impersonating information through forms or email.

  • Use the Service in violation of applicable sanctions, export controls, or other laws.

We may suspend or restrict access to the Service if we reasonably believe your use violates these Terms or creates risk to the Service, other users, or third parties.

5. Intellectual Property

The Service, including its text, lessons, templates, design elements, and underlying code, is owned by Nogvarelt Education s.r.o. or licensed to us, and is protected by intellectual property laws. “nogvarelt” and associated branding are our trademarks or trade dress.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal learning and internal business evaluation purposes. You may not copy, reproduce, publish, distribute, resell, sublicense, or create derivative works from the Service without our prior written permission.

If you provide feedback (for example, suggestions about modules or templates), you grant us a perpetual, worldwide, royalty-free right to use that feedback to improve the Service, without obligation to you.

6. Third-Party Services and Links

The Service may reference third-party platforms, marketplaces, tools, or services used in online commerce. Any such references are for convenience and educational context. We do not control third-party services and are not responsible for their content, policies, pricing, availability, or security practices.

Your dealings with third parties are between you and the third party. You should review their terms and privacy policies before using their services.

7. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis. We disclaim all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any content is complete, current, or applicable to your specific circumstances. Any reliance on the Service is at your own discretion and risk.

8. Limitation of Liability

To the maximum extent permitted by law, Nogvarelt Education s.r.o. and its officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, business interruption, or anticipated savings, arising out of or relating to your use of (or inability to use) the Service.

To the maximum extent permitted by law, our total direct liability for any claim arising out of or relating to the Service or these Terms is limited to the greater of (a) the amount you paid to us for the Service in the 12 months before the event giving rise to the claim, or (b) EUR 100.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be excluded under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nogvarelt Education s.r.o. from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your misuse of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) information you submit through the Service that is false, misleading, or infringing.

10. Force Majeure

We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, war, civil unrest, labor disputes, pandemics, internet outages, power failures, cyberattacks, or failures of hosting, cloud, or telecommunications providers.

11. International Use

The Service is operated from Czechia. We make no representation that the Service is appropriate or available for use in every location. Access to the Service may not be legal for certain persons or in certain countries. If you access the Service from outside Czechia, you are responsible for compliance with local laws.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Czech Republic, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the competent courts in Brno, Czech Republic.

If you are a consumer in the European Union, you may also benefit from mandatory consumer protection provisions in your country of residence, where applicable.

13. Dispute Resolution

Before starting formal proceedings, you agree to contact us and allow a 30-day period to attempt to resolve the dispute informally. You can reach us at [email protected].

Nothing in this section prevents either party from seeking urgent injunctive relief where appropriate.

14. Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms or that your use creates security, legal, or operational risk.

Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and other provisions intended to remain in effect.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Any invalid provision will be replaced by a valid provision that most closely reflects the original intent.

16. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Nogvarelt Education s.r.o. regarding the Service and supersede any prior or contemporaneous agreements on the subject matter.

17. Assignment

We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign these Terms without our prior written consent.

18. No Waiver

Our failure to enforce any provision of these Terms will not be deemed a waiver of future enforcement of that or any other provision. Any waiver must be in writing and signed by an authorized representative of Nogvarelt Education s.r.o.

19. Modifications to These Terms

We may update these Terms from time to time. Changes become effective 14 days after the updated Terms are posted on this page, unless a shorter period is required for security, legal compliance, or administrative updates. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

20. Electronic Communications

You agree that communications we provide to you electronically (for example, via email or by posting on the website) satisfy any legal requirement that such communications be in writing. Where applicable, you agree that electronic signatures and records are legally binding to the maximum extent permitted by law.
